These terms govern your use of SignWay. By creating an account or using the service, you agree to them.

1. Who you're contracting with
SignWay is a product of GigWay (Pty) Ltd (registration number 2022/302503/07), a company incorporated in South Africa ("SignWay", "we", "us", "our"). These Terms are an agreement between you and GigWay (Pty) Ltd.
2. What SignWay does
SignWay is an electronic signature platform. It lets you upload documents, invite people to sign them electronically, and receive a sealed copy with an audit trail. SignWay provides the tools to sign documents — it does not provide legal advice and does not draft or review your documents.
3. Your responsibility for your documents
This is important. You are responsible for the documents you send and sign through SignWay, including:
- ensuring you have the right to upload and send each document and any personal information it contains;
- ensuring that an electronic signature is legally appropriate for your document. Under South Africa's Electronic Communications and Transactions Act, 2002 (ECTA), electronic signatures are valid for most agreements, but some documents are excluded by law and may not be validly signed electronically — including wills and codicils, the sale of immovable property, long-term leases of immovable property (more than 20 years), and bills of exchange. Certain documents may also require an Advanced Electronic Signature;
- deciding whether your document meets any specific legal requirements that apply to it.
SignWay does not guarantee that any particular document signed through the service is legally valid or enforceable — that depends on your document and your circumstances. If you are unsure, seek legal advice.
4. Your account
- You must provide accurate information and keep your login details secure.
- You are responsible for activity under your account.
- You must be legally capable of entering into a contract to use SignWay.
- We may suspend or close accounts that breach these Terms or are used unlawfully.
5. Acceptable use
You agree not to use SignWay to:
- send unlawful, fraudulent, or harmful content;
- impersonate someone else or send documents you have no right to send;
- upload malware or attempt to disrupt or gain unauthorised access to the service;
- infringe anyone's rights or breach any law.
We may remove content or suspend access if these rules are breached.
6. Signers
People you invite to sign do not need a SignWay account and are not charged. When you invite a signer, you confirm you have a lawful basis to send them the document and to process their personal information. Signers agree to the electronic signing process at the point of signing.
7. Plans, payment, and billing
- All plans and document bundles are priced in South African Rand, including VAT, at the prices shown in the app.
- Payments are processed by our payment provider, PayFast.
- The Free trial allows a total of 3 documents. It is not time-limited and requires no payment.
- The Lifetime plan is a once-off purchase. There is no subscription, no renewal, and no monthly fee. “Lifetime” means for the lifetime of the SignWay product — for as long as we continue to operate and offer the SignWay service — and not the lifetime of any person or entity. If we discontinue the product, the plan ends with it.
- The Lifetime plan includes 10 documents per calendar month. The allowance resets on the 1st of each month and unused documents do not carry over. Sending beyond the monthly allowance requires a document bundle.
- Document bundles are once-off purchases valid for the period stated at purchase.
- Except where the law requires otherwise, payments already made are non-refundable.
- We may change our prices; changes do not affect a Lifetime plan already purchased.
Confirm your refund and cancellation approach with your lawyer — the above is a common default.
8. Availability
We work to keep SignWay available and reliable, but we do not guarantee uninterrupted or error-free service. We may perform maintenance, update features, or suspend the service where necessary.
9. Intellectual property
SignWay, its branding, and its software belong to GigWay (Pty) Ltd. You keep ownership of the documents and content you upload. You grant us the limited right to store and process your content only as needed to provide the service.
10. Limitation of liability
To the extent permitted by law, GigWay (Pty) Ltd is not liable for:
- the legal validity, enforceability, or suitability of any document you sign through SignWay;
- loss or damage arising from your use of, or inability to use, the service;
- indirect, incidental, or consequential losses.
Nothing in these Terms excludes liability that cannot be excluded under South African law, including under the Consumer Protection Act where it applies.
Your lawyer should tailor this clause — liability limits interact with the Consumer Protection Act and ECTA.
11. Privacy
We process personal information in line with our Privacy Policy, in terms of POPIA.
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will update the date above and, where appropriate, notify you. Continuing to use SignWay after changes means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the Republic of South Africa, and the South African courts have jurisdiction.
